Client Responsibilities

Clients remain responsible for:

Their own compliance obligations under applicable laws and regulations

Verifying current regulatory requirements with official sources

Seeking independent legal counsel for legal interpretation and compliance matters

Implementing recommendations appropriately within their operations

Obtaining necessary permits, approvals, and certifications from competent authorities

Liability

While every effort is made to provide accurate and current information, regulatory landscapes evolve continuously. Recommendations are based on information available at the time of consultation and professional judgment developed through extensive experience.

Consultant liability is limited to the scope of services contracted and fees paid for specific engagements, except in cases of gross negligence or willful misconduct.

  • Indirect, consequential, or incidental damages
  • Lost profits or business opportunities
  • Regulatory penalties or fines
  • Any claims by third parties

  1. CLIENT INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims arising
from:

  • Your use of our deliverables
  • Your implementation decisions
  • Your non-compliance with laws
  • Any third-party claims related to your operations

  1. INTELLECTUAL PROPERTY

Deliverables: You own specific deliverables created for you (reports,
assessments, roadmaps)

Our Materials: We retain rights to our methodologies, templates, and
general expertise

You may not resell our methodologies or present our work as your own

  1. CONFIDENTIALITY

Both parties protect confidential information for 5 years after
engagement ends.

We may use anonymized case studies with your permission and disclose
general industry experience.

  1. ENGAGEMENT PROCESS

Discovery Call → Project Proposal (within 72 hours) →
Service Agreement → Delivery

Deliverables and timelines specified in individual project agreements.

Either party may terminate with written notice.

Upon termination:

  • We deliver work completed to date (if any)
  • Confidentiality and liability limitations remain in effect

Governed by Italian law. Courts of Viterbo, Italy have jurisdiction.

Dispute resolution: Negotiation → Mediation → Litigation

  1. GENERAL PROVISIONS

Independent Contractor: We are not your employee or agent

Entire Agreement: These Terms plus service agreements constitute
complete agreement

Amendments: Only by written agreement

Severability: Invalid provisions don’t affect remaining terms

Survival: Confidentiality, liability, and indemnification survive
termination
